| 内容記述 | This article addresses five points. Toshiba colluded with the Ministry of Economy, Trade and Industry in response to shareholder proposals, and this act of interfering with shareholders caused distrust and, secondly, this pressure on shareholders has had an impact on overseas institutional investors. Irrespective of whether or not the outside directors were qualified, including by Toshiba's inward-looking constitution, the effectiveness of governance involving outside directors has been called into question. Since the fraudulent accounting scandal of February 2015, the management system has not become monolithic within the company. Finally, a director from outside the company was invited, but corporate governance and management have been shaken again due to inadequate internal coordination and cooperation. |
